Terms of Service

The rules that govern your use of the Old Kingdom Corp. website and related services. Please read them carefully.

1. Introduction and Acceptance

Welcome to Old Kingdom Corp. These Terms of Service constitute a legally binding agreement between you -- whether as an individual visitor, a representative of an organization, or any other user of the website -- and Old Kingdom Corp., a corporation organized under the laws of Ontario, Canada, with its registered office at 3 Rose Water 601 W, Richmond Hill, L4C 5T6, Ontario. By accessing, browsing, or using the website located at https://www.oldkingdom.lol and any related subdomains, features, content, and services (collectively referred to as the Platform), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and by our Privacy Policy, which is incorporated herein by reference.

If you do not agree to all of the terms and conditions set forth below, you must not access the Platform and must immediately cease any use of the Platform. Your continued use of the Platform following any updates to these Terms constitutes your acceptance of the revised Terms. Old Kingdom Corp. reserves the right to modify these Terms at any time in its sole discretion, and it is your responsibility to review these Terms periodically for changes.

The Platform is intended for users who are at least sixteen years of age. By using the Platform, you represent and warrant that you meet this age requirement and that you have the legal capacity to enter into a binding contract. If you are accessing the Platform on behalf of an organization, you further represent and warrant that you have the authority to bind that organization to these Terms.

2. Definitions

For the purposes of these Terms of Service, the following definitions apply. The term Old Kingdom refers to Old Kingdom Corp., including its officers, directors, employees, affiliates, agents, contractors, and successors. The term User refers to any individual or entity that accesses, browses, or otherwise interacts with the Platform, regardless of whether they have an account or have entered into a separate service agreement with Old Kingdom.

The term Content refers to all text, images, graphics, videos, audio, data, software, code, design elements, trademarks, logos, and any other materials made available through the Platform, whether provided by Old Kingdom or by Users. The term Services refers to the computer integrated systems design, technical consulting, infrastructure integration, automation engineering, data systems design, security integration, and observability services offered by Old Kingdom through the Platform or through separate engagement agreements. The term Platform encompasses the website and all associated infrastructure, subdomains, APIs, and communication channels operated by Old Kingdom.

The term Confidential Information means any non-public information disclosed by one party to the other in connection with the Services, whether in written, oral, electronic, or other form, that is designated as confidential or that reasonably should be understood to be confidential given the circumstances of disclosure. The term Applicable Law refers to all statutes, regulations, rules, ordinances, and other legal requirements of any governmental authority that apply to the use of the Platform or the provision of the Services.

3. Eligibility

Use of the Platform is subject to eligibility requirements that are designed to ensure compliance with applicable laws and to protect the integrity of the Services. You must be at least sixteen years of age to use the Platform. By accessing the Platform, you represent that you have reached the age of majority in your jurisdiction of residence, or that you have obtained the consent of a parent or legal guardian, and that you are fully able and competent to enter into the terms, conditions, obligations, and representations set forth in these Terms.

Old Kingdom Corp. does not knowingly provide Services to individuals or entities that are subject to economic sanctions, trade embargoes, or other legal restrictions imposed by Canada, the United States, the European Union, or the United Nations. By using the Platform, you represent that you are not located in a sanctioned jurisdiction and that you are not a person or entity with whom Old Kingdom is prohibited from doing business under Applicable Law. We reserve the right to refuse service to anyone for any lawful reason at our sole discretion.

If you are using the Platform on behalf of a business, you represent that the business is duly organized, validly existing, and in good standing under the laws of its jurisdiction of formation, and that you are authorized to bind the business to these Terms. The business shall be jointly and severally liable with you for all obligations under these Terms.

4. Account Responsibilities

Certain features of the Platform may require you to create an account or provide contact information. When you create an account or submit information through the Platform, you agree to provide accurate, current, and complete information and to update that information promptly if it changes. You are solely responsible for maintaining the confidentiality of any account credentials, including passwords and API keys, and for all activities that occur under your account.

You agree to notify Old Kingdom Corp. immediately of any unauthorized use of your account or any other breach of security. Old Kingdom will not be liable for any loss or damage arising from your failure to comply with the account security obligations set forth in this section. You may not use another account without permission, and you may not assign or transfer your account to any other person or entity without the prior written consent of Old Kingdom.

Old Kingdom Corp. reserves the right to suspend or terminate any account that it reasonably believes may have been compromised, is being used in violation of these Terms, or is otherwise engaged in activity that could harm Old Kingdom, other Users, or third parties. We will make reasonable efforts to notify you before any such suspension or termination unless notification would compromise security or is prohibited by law.

5. Services Description

Old Kingdom Corp. provides computer integrated systems design and technical consulting services. The specific scope, deliverables, timeline, and fees for any consulting engagement are set forth in a separate written agreement executed between Old Kingdom and the client. The information on the Platform regarding Services is provided for general informational purposes and does not constitute a binding offer. No contractual relationship for the provision of Services is formed through the use of the Platform alone.

The Platform serves as a channel through which prospective clients may learn about the capabilities and experience of Old Kingdom Corp. and may initiate contact for a consultation. Any engagement for professional services is subject to a separate master services agreement, statement of work, or equivalent written document that defines the project scope, pricing, intellectual property ownership, confidentiality obligations, and other commercial terms. In the event of any inconsistency between these Terms and a separately executed services agreement, the services agreement shall prevail with respect to the specific engagement to which it relates.

Old Kingdom Corp. makes no representation or warranty that the Services described on the Platform are appropriate or available for use in all locations. Users accessing the Platform from jurisdictions outside Canada do so on their own initiative and are responsible for compliance with local laws to the extent they are applicable. Old Kingdom reserves the right to modify or discontinue any aspect of the Platform or Services at any time without prior notice.

6. User Conduct

You agree to use the Platform only for lawful purposes and in a manner consistent with these Terms and all Applicable Laws. You shall not use the Platform in any way that could damage, disable, overburden, or impair the Platform or interfere with the use and enjoyment of the Platform by any other party. Prohibited activities include but are not limited to attempting to gain unauthorized access to the Platform, its servers, or any associated systems or networks through hacking, password mining, or any other means.

You shall not use any robot, spider, scraper, or other automated means to access the Platform for any purpose without the express written permission of Old Kingdom Corp. You shall not upload, post, transmit, or otherwise make available any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable. You shall not impersonate any person or entity, forge headers, or otherwise manipulate identifiers to disguise the origin of any content transmitted through the Platform.

You shall not upload or transmit any viruses, worms, Trojan horses, logic bombs, or other malicious or technologically harmful material. You shall not engage in any conduct that restricts or inhibits any other user from using or enjoying the Platform, or that could expose Old Kingdom or its users to liability or damage of any kind. Old Kingdom reserves the right to investigate and take appropriate legal action against anyone who violates these conduct provisions, including reporting such violations to law enforcement authorities.

7. Intellectual Property Rights

Unless otherwise explicitly stated, Old Kingdom Corp. owns and retains all right, title, and interest in and to the Platform and all Content made available through it, including but not limited to all text, graphics, logos, button icons, images, audio clips, video clips, data compilations, and software. The Platform and its Content are protected by Canadian and international copyright, trademark, patent, trade secret, and other intellectual property laws. The Old Kingdom name, the Old Kingdom logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Old Kingdom Corp. or its affiliates.

You are granted a limited, non-exclusive, non-transferable, and revocable license to access and view the Content on the Platform solely for your personal, non-commercial use in connection with evaluating the Services. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any Content except as expressly permitted by these Terms or with the prior written consent of Old Kingdom Corp. Any unauthorized use of the Platform or Content may violate copyright laws, trademark laws, and other regulations.

Any feedback, suggestions, or ideas that you provide to Old Kingdom Corp. regarding the Platform or Services shall become the sole property of Old Kingdom. Old Kingdom shall be entitled to use such feedback for any purpose without compensation to you and without any obligation of confidentiality. If you believe that any Content on the Platform infringes your intellectual property rights, please contact us immediately using the information provided in the Contact Information section below so that we may investigate and take appropriate action.

8. Third-Party Services and Links

The Platform may contain links to third-party websites and services that are not owned, operated, or controlled by Old Kingdom Corp. These links are provided for your convenience and reference only. Old Kingdom does not endorse, and is not responsible for, the content, products, services, or practices of any third-party websites or services. You acknowledge and agree that Old Kingdom shall not be liable, directly or indirectly, for any damage or loss caused by or in connection with your use of or reliance on any third-party content, goods, or services.

When you access a third-party website through a link on the Platform, you do so at your own risk. We encourage you to review the terms of service and privacy policies of every third-party website you visit. Any interactions, transactions, or correspondence between you and any third party are solely between you and that third party. Old Kingdom Corp. is not a party to and shall not be responsible for any dispute between you and any third party.

Old Kingdom Corp. may also integrate third-party tools, APIs, libraries, or services into the Platform for functionality such as analytics, hosting, or communication. Your use of such integrated services may be subject to additional terms and conditions imposed by the providers of those services. Old Kingdom makes no representations regarding the availability, reliability, or security of such third-party services and shall not be liable for any interruption or failure attributable to them.

9. Fees and Payment

Access to the informational portions of the Platform is currently provided free of charge. Old Kingdom Corp. reserves the right to introduce fees for access to certain features or content in the future, with reasonable notice provided to Users. Any fees for consulting Services are governed by the terms of the separate services agreement executed between Old Kingdom and the client. The Platform itself does not process payments or collect payment information at this time.

If and when fee-based features are introduced, all fees will be clearly disclosed before any charge is incurred, and your use of such features will be conditioned on your acceptance of the applicable pricing. All fees are non-refundable unless otherwise specified in the applicable services agreement or as required by Applicable Law. Old Kingdom Corp. may change its fees at any time, but any such change will not affect engagements for which a services agreement has already been executed.

You are responsible for all charges associated with connecting to the Platform, including internet service provider fees, data charges, and any other equipment or service costs. Old Kingdom Corp. is not responsible for any bank fees, currency conversion charges, or other financial costs you may incur in connection with payments made to Old Kingdom under a separate services agreement.

10. Limitation of Liability

To the fullest extent permitted by Applicable Law, in no event shall Old Kingdom Corp., its affiliates, or their respective officers, directors, employees, agents, licensors, or service providers be liable to you or any third party for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, revenue, goodwill, use, data, or other intangible losses, arising out of or in connection with your use of or inability to use the Platform, regardless of the legal theory on which the claim is based, even if Old Kingdom has been advised of the possibility of such damages.

The aggregate liability of Old Kingdom Corp. for any claims arising out of or relating to these Terms or the use of the Platform shall not exceed the greater of one hundred Canadian dollars (CAD $100.00) or the total amount paid by you to Old Kingdom for access to the Platform during the twelve-month period preceding the event giving rise to the claim. The limitations of liability set forth in this section are fundamental elements of the basis of the bargain between Old Kingdom and you, and the Platform would not be provided without such limitations.

Some jurisdictions do not allow the exclusion or limitation of certain damages or the limitation of liability for certain types of claims. In such jurisdictions, the liability of Old Kingdom Corp. shall be limited to the maximum extent permitted by law. Nothing in these Terms shall be construed to exclude or limit liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited by Applicable Law.

11. Disclaimer of Warranties

Your use of the Platform is at your sole risk. The Platform and all Content, materials, information, products, and services included or otherwise made available through the Platform are provided on an as-is and as-available basis, without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and title. Old Kingdom Corp. makes no warranty that the Platform will meet your requirements, that access will be uninterrupted, timely, secure, or error-free, that defects will be corrected, or that the Platform or the servers that make it available are free of viruses or other harmful components.

Old Kingdom Corp. does not warrant the accuracy, completeness, reliability, or currency of any Content on the Platform. The Platform may contain typographical errors, inaccuracies, or outdated information. Old Kingdom reserves the right to correct any errors or omissions and to change or update information at any time without prior notice, but it undertakes no obligation to update, amend, or clarify information on the Platform.

No advice or information, whether oral or written, obtained by you from Old Kingdom Corp. or through the Platform shall create any warranty not expressly stated in these Terms. Your reliance on any information provided through the Platform is solely at your own risk. Old Kingdom expressly disclaims any liability for actions taken or not taken based on any Content or information available on the Platform.

12. Indemnification

You agree to defend, indemnify, and hold harmless Old Kingdom Corp., its affiliates, and their respective officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable legal fees and court costs) arising out of or relating to your breach of these Terms, your violation of any Applicable Law, your infringement of any intellectual property or other right of any third party, or your use of the Platform in any manner not expressly authorized by these Terms.

Old Kingdom Corp. reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. In such event, you shall cooperate fully with Old Kingdom in asserting any available defenses and shall not settle any such matter without the prior written consent of Old Kingdom Corp. Your indemnification obligations under this section shall survive the termination of these Terms and your cessation of use of the Platform.

This indemnification provision applies regardless of whether the claim arises in contract, tort, statute, or any other legal theory, and regardless of the identity of the party bringing the claim. You acknowledge that Old Kingdom Corp. would not make the Platform available to you without your agreement to this indemnification provision, and you agree that it is fair and reasonable in scope and duration.

13. Termination

These Terms shall remain in full force and effect while you use the Platform. Old Kingdom Corp. may terminate or suspend your access to the Platform at any time, for any reason or for no reason, with or without prior notice, and without liability of any kind. Reasons for termination may include but are not limited to violation of these Terms, requests by law enforcement authorities, discontinuance of the Platform or any portion thereof, or technical or security issues.

Upon termination of your access, your right to use the Platform shall immediately cease. The provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property rights, warranty disclaimers, limitation of liability, indemnification, governing law, and dispute resolution. Termination of access does not relieve you of any obligation to pay fees accrued or payable to Old Kingdom prior to the date of termination.

You may terminate these Terms at any time by discontinuing your use of the Platform and, if you have an account, by closing that account by contacting us. Termination of these Terms shall not affect any rights or obligations that have accrued prior to the date of termination, and any separate services agreements between you and Old Kingdom Corp. shall continue in accordance with their own terms unless expressly terminated in accordance with those agreements.

14. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them or their subject matter, whether contractual or non-contractual, shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable therein, without giving effect to any choice or conflict of law provision or rule. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these Terms.

Any legal suit, action, or proceeding arising out of or related to these Terms or the Platform shall be instituted exclusively in the courts of competent jurisdiction located in the Province of Ontario, Canada. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts. You agree that you will not bring any claim against Old Kingdom Corp. in any court outside of Ontario, and you consent to the personal jurisdiction of the Ontario courts for the resolution of any disputes.

Notwithstanding the foregoing, Old Kingdom Corp. may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights, confidential information, or other proprietary interests. You agree that any claim or cause of action arising out of or related to the use of the Platform must be filed within one year after the claim or cause of action arose or be permanently barred.

15. Dispute Resolution

Old Kingdom Corp. encourages the amicable resolution of disputes. Before initiating any formal legal proceedings, you agree to first contact Old Kingdom Corp. and attempt to resolve the dispute informally. You shall provide a written notice describing the nature of the dispute and the relief sought. Old Kingdom shall have thirty days from receipt of your notice to respond and attempt to resolve the matter. If the dispute is not resolved within that period, either party may proceed with formal legal action in accordance with the Governing Law and Jurisdiction section of these Terms.

All negotiations pursuant to this section are confidential and shall be treated as compromise and settlement negotiations for purposes of applicable rules of evidence. Statements made during such negotiations shall not be admissible in any subsequent litigation or arbitration for any purpose. The parties shall each bear their own costs in connection with the informal dispute resolution process described in this section.

Old Kingdom Corp. reserves the right, at its option, to require that disputes be resolved through binding arbitration in accordance with the Arbitration Act of Ontario. If Old Kingdom elects arbitration, the arbitration shall be conducted in Ontario before a single arbitrator mutually agreed upon by the parties. The arbitration shall be conducted in the English language, and the award of the arbitrator shall be final and binding. Each party shall bear its own costs of arbitration, and the fees of the arbitrator shall be shared equally unless otherwise ordered by the arbitrator.

16. Changes to These Terms

Old Kingdom Corp. reserves the right to modify, amend, or replace these Terms at any time in its sole discretion. When we make material changes, we will provide notice by posting the updated Terms on this page and updating the last updated date. We may also notify you by email or through a banner on the Platform. Material changes are those that affect your rights, impose new obligations, or alter the scope of liability or disclaimers.

Your continued use of the Platform after the effective date of any revised Terms constitutes your acceptance of the revised Terms. If you do not agree with the revised Terms, you must discontinue your use of the Platform. Because these Terms may change from time to time, we recommend that you print or save a copy of the Terms for your records and review them periodically to stay informed of any updates.

Changes that are required by law, necessary for security, or that correct typographical errors may be made without advance notice. No modification of these Terms by any party other than Old Kingdom Corp. shall be valid or enforceable against Old Kingdom unless expressly agreed to in writing signed by an authorized representative of Old Kingdom Corp.

17. General Provisions

These Terms, together with the Privacy Policy and any other legal notices or policies published by Old Kingdom Corp. on the Platform, constitute the entire agreement between you and Old Kingdom with respect to the Platform and supersede all prior or contemporaneous understandings and agreements, whether written or oral. No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision. A waiver of any breach shall not be construed as a waiver of any subsequent breach.

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be severed, and the remaining provisions shall continue in full force and effect, and shall be construed to give effect to the intent of the severed provision to the maximum extent permitted by law. The headings used in these Terms are for convenience only and shall not affect the interpretation of any provision.

These Terms and any rights and licenses granted hereunder may not be transferred or assigned by you without the prior written consent of Old Kingdom Corp. Old Kingdom may assign or transfer these Terms, in whole or in part, without restriction and without notice to you. These Terms shall be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns. Nothing in these Terms shall be construed to create any partnership, joint venture, employment, or agency relationship between you and Old Kingdom Corp.

For general inquiries, email is the preferred method and will typically result in the fastest response.

Old Kingdom Corp. values transparency and open communication. If you believe that any aspect of the Platform or its operation violates these Terms or Applicable Law, we encourage you to bring it to our attention so that we may investigate and take corrective action where appropriate.
